Senior Counsel, Fund Disclosure
About the position Vanguard is seeking a Senior Counsel to join its Investment Products, Disclosure & Governance Legal Team. This role involves providing legal advice and representation on matters related to Vanguard's business activities and investment products, with a focus on enhancing U.S. prospectus and SAI disclosures. The Senior Counsel will serve as a trusted advisor, ensuring compliance with laws and regulations while collaborating with senior leaders and internal stakeholders to advance organizational strategies. Responsibilities • Serve as a trusted advisor and provide strategic legal advice for issues impacting the disclosure for mutual funds and ETFs. • Ensure compliance with relevant laws and regulations in activities, policies, practices, and transactions. • Collaborate with senior leaders to achieve strong outcomes and maintain relationships with key internal stakeholders. • Address fund and advisor legal matters across the company and coordinate responses for consistency. • Draft, review, and negotiate legal documents, including regulatory filings and correspondence of legal significance. • Lead negotiations regarding SEC comments on Vanguard's disclosure. • Monitor and analyze legislative and regulatory developments relevant to Vanguard's business activities and investment products. • Represent Vanguard in complex legal proceedings before courts and government agencies. • Engage and manage outside counsel as necessary, including reviewing invoices. • Maintain expertise in regulatory law, Vanguard's business, and the investment industry. • Build and maintain an external network to stay updated on industry trends and best practices. • Lead training, coaching, and development of others within the department. • Participate in special projects and perform other duties as assigned. Requirements • 4+ years of related legal work experience. • Undergraduate degree or equivalent combination of training and experience. • Law degree (JD) required. • Demonstrated persuasion and influencing capabilities. • Ability to balance business and legal needs and manage multiple projects simultaneously. • Exceptional leadership, organizational, and interpersonal skills. • Track record of success in navigating relationships with internal and external parties. • Strong experience presenting to executive sponsors and communicating with senior leaders.
