Senior Project Management Consultant, Corporate Governance
Job Description: • Manage Allstate’s legal entity structure, including formation, mergers, dissolutions, and state and other local legal regulatory requirements. • Draft and review subsidiary governance documents such as bylaws, operating agreements, meeting minutes, written consents, and annual reports. • Complete licensing and regulatory filings with state and insurance authorities. • Maintain legal entity records and utilize Allstate’s global entity management system. • Document intercompany transactions, including reorganizations, dividends, and liquidations. • Develop templates, tools, and resources to enhance entity management processes. • Conduct legal research and resolve governance issues of varying complexity. • Administer technology platforms (Diligent, SharePoint, Workiva) to support timely and accurate governance documentation. • Partner with cross-functional teams to support M&A transactions, entity integration and rationalization, and other key projects. Requirements: • Bachelor’s degree • 10+ years of paralegal or corporate governance experience • 3+ years in entity management at a law firm and/or U.S. publicly traded company (preferred) • Strong analytical, research, and organizational skills • Meticulous attention to detail and proofreading abilities • Proven project management and time management skills • Excellent written and verbal communication skills • Advanced proficiency in Microsoft Office (Word, Excel, PowerPoint, Teams, Outlook, SharePoint) • Experience with Diligent and global entity management systems • Curiosity and openness to leveraging emerging technologies (including AI) to drive innovation • Licensed Notary or willingness to become licensed (experience with remote/electronic notarization a plus) Benefits: • Health insurance • 401(k) matching • Paid time off • Flexible work arrangements • Professional development opportunities Apply tot his job
