What you’ll do The Sr. Director: Legal serves as the primary architect of the company’s legal strategy and the leader of its contract operations. This role acts as a strategic partner to the executive team, providing expert counsel to align legal initiatives with business growth while proactively mitigating risk. The Sr. Director: Legal provides end-to-end oversight of the contract lifecycle—from drafting and high-stakes negotiations to tracking and compliance—ensuring that all agreements reflect company policies and federal regulations. As a hands-on leader, the Sr. Director: Legal manages a dedicated team and fosters a culture of informed decision-making by educating stakeholders company-wide on contract best practices. Whether navigating M&A due diligence, managing corporate governance, or overseeing intellectual property and employment law matters, the Sr. Director: Legal builds associations of trust to protect the company’s interests and streamline its operational efficiency. Key Responsibilities Strategic Leadership & Corporate Counsel • Strategy: Develop and implement legal initiatives that align with overall business objectives and long-term growth. • Advisory: Provide high-level strategic legal counsel to the executive and senior management teams. • Management: Oversee outside counsel to achieve favorable outcomes while maintaining strict cost controls. • Corporate: Support M&A due diligence, technology acquisitions, and the management of legal entities and corporate registrations. • Litigation: Coordinate company representation in legal disputes and conduct industry-specific research to mitigate emerging risks. Contract Lifecycle & Process Optimization • Negotiation: Direct the end-to-end preparation, drafting, and negotiation of complex proposals and legal agreements. • Systems: Create and integrate modern contract management tools, templates, and standardized methods of engagement. • Administration: Develop and enforce standardized processes for contract administration in compliance with federal regulations and company policies. • Reporting: Monitor and disseminate critical updates regarding contract status, modifications, and terminations to relevant stakeholders. Cross-Functional Collaboration & Procurement • Partnership: Act as a legal consultant to internal departments including Operations, Sales, Marketing, IT, and Project Management. • Procurement: Facilitate procurement-related contracts, including travel agreements, software licenses, and third-party tool integrations. • Liaison: Collaborate with internal stakeholders to identify, assess, and mitigate risk within all contractual agreements. Compliance, IP & Risk Management • Governance: Oversee the preparation and filing of all required regulatory compliance reports and documentation. • Compliance: Ensure all tasks and agreements adhere to company policies, applicable laws, and specific contract requirements. • Intellectual Property: Manage the initiation, renewal, and enforcement of software licenses, trademarks, and third-party IP obligations. • Risk Mitigation: Proactively flag and escalate legal issues while ensuring accuracy and relevance across all contract processes. QUALIFICATIONS You must have • Juris Doctor (J.D.) from an accredited law school. • Membership in a US bar. • 7 years or more relevant experience working with software, data and services products. • In-house counsel experience. We’d like you to have • Significant previous experience with technology/software/data licensing, negotiations and general commercial transactions with strong preference for experience with recurring revenue transactions. • Knowledge and familiarity with life cycle contract administration of software development, software as a service, consulting, and project management requirements. • Possess knowledge, familiarity and ability to work with other functions (i.e., Accounting, Finance, Sales and Marketing, Development) as they relate to contract administration. • Experience with implementation and maintenance of contract administration software such as Ironclad or similar products. • Experience with government contracting and procurement processes.
