VP, Associate General Counsel and Assistant Corporate Secretary
About the position The role holder will be responsible for providing legal support and guidance to ensure the proper governance of and compliance with applicable laws, rules, regulations, and internal policies applicable to our U.S. (P&C and Life) Boards and Committees. Support all aspects of Board and Committee meetings, including working collaboratively with the Corporate Secretary to address legal requirements requiring board action, design agendas considering regulatory requirements and management's direction, oversee and assist with the preparation, collection and distribution of meeting materials, attend all meetings and draft, and review meeting minutes. Create and ensure accurate corporate records in all required systems, manage and certify via legally required secretary certificate the production of corporate governance records for regulatory examination, audit purposes or other initiatives. Draft and review legal documents, including annual review and/or modifications to corporate documentation, annual or quarterly reviews and filings. Provide timely, practical and balanced legal advice, guidance and services to help the management prudently manage risk with a primary focus on supporting the P&C Americas Chief Legal Counsel on US, and if bandwidth allows Canada, regulatory matters. Notably: Maintain thorough awareness of the compliance and regulatory environment by tracking, analyzing, and monitoring key regulatory issues and advise key stakeholders on issues impacting their business area. Participate and assist in key regulatory submissions, including annual filings as to Enterprise Risk, Holding Company Act compliance, and corporate governance as well as regulatory reporting. Advise on regulatory reporting and filing requirements, including ad-hoc and periodic disclosure and reporting requirements. Advise on regulatory inquiries, information requests, and examinations, including interviews and onsite inspections, and associated remediations. Provide periodic reports to senior management on emerging regulatory obligations and the state of the regulatory compliance program. Bandwidth permitting, provide legal guidance and support re: any assigned P&C transactional and underwriting matters (including detailed contract wording review and editing and developing preferred SCOR P&C contract language) for the Americas. The role holder will be commercial and pragmatic and will understand the impact of market conditions on treaty and direct (specialty) insurance activities, procedures and wordings, while being able to clearly and succinctly articulate issues to the underwriting community (and management), to evaluate the risks associated with the (re)insurance activities and to develop commercial risk mitigation options, while ensuring all operations are compliant with applicable regulatory requirements. The role holder will be enthusiastic about supporting the activities of the P&C Business Unit globally and across all business activities and providing general support to the Legal and Compliance functions for P&C as time and experience permits. The role holder will report directly to the P&C Americas Chief Legal Counsel. Responsibilities • Providing timely, succinct, practical and commercial advice across all topics. • Support the U.S. (P&C and Life) Corporate Secretary in all aspects of Board and Committee meetings, including addressing legal requirements requiring board action, design agendas considering regulatory requirements and management's direction, oversee and assist with the preparation, collection and distribution of meeting materials, attend all meetings and conduct legal and governance requirements at meeting, draft, and review meeting minutes. • Monitor and advise on regulatory developments and trends that may impact the company's operations. • Serve as a liaison to business and/or functional departments in connection with regulatory engagements including filings, regulatory examinations, meetings and other interactions. • Once established in their role, there is an opportunity for a strong performer to work on transversal and cross-regional projects and to expand their knowledge on matters unrelated to their primary practice and to take on additional responsibilities if bandwidth allows. Requirements • Strong corporate governance and regulatory background. • Capability to operate autonomously with guidance from peers. • Excited about working directly with the business and driving legal issues to completion. • Some prior relevant experience is required. • Proven self-starter who takes initiative and can act independently. • Ability to swiftly identify and analyze issues and proposals. • Strong written and oral communication skills. • Ability to promptly make decisions reflecting all available information and appropriate risk assessments. • Understanding of the P&C business drivers. • Willingness to own and swiftly correct decisions. • An appetite for learning and developing in their field. • Prior experience with Canada laws and regulations a plus but not required. • Ideally 6+ years of experience. • J.D. from an accredited law school or international equivalent. • Licensed to practice and a member in good standing/the ability to immediately reactivate membership in at least one US state.
