Business Attorney Needed – Review/Revise Florida LLC Operating Agreement + Equity Grant
Description: I’m looking for an experienced U.S. business transactions attorney to review and advise on a set of documents for an existing LLC. My LLC will receive a 10% equity interest in exchange for services. Scope of work: Review existing documents and provide practical feedback + recommended edits: -LLC Operating Agreement -Equity/Unit Grant Agreement (Class B / profits interest style equity) -Contractor/Services Agreement (scope + compensation) Confirm and/or revise documents so that: My LLC is clearly identified as a 10% owner (units/equity defined correctly) My compensation is clearly stated (monthly fee and any step-ups/milestones) Responsibilities/deliverables are clearly summarized and reasonable Identify and propose revisions for key deal concerns, including: Vesting milestone deadlines (need flexibility so vesting isn’t lost due to timing alone) Repurchase rights on termination (do not want vested interests to be subject to forced repurchase) Deliverables: Written issue-spotting memo with recommended changes Marked-up/redlined documents (or clause-by-clause replacement language) Optional: 30–60 minute call to walk through recommendations Ideal attorney background: 5+ years in business transactions (not primarily litigation) Strong experience with LLC operating agreements, equity/unit grants, service-based equity, vesting schedules, buy-sell/repurchase clauses Familiarity with profits interests / Class B-style units a plus Clear, practical drafting and communication To apply, please include: Relevant experience/examples of similar work States you’re licensed in Proposed fee structure (flat fee preferred; hourly OK with an estimate) Availability and expected turnaround time Budget: Open to proposals (flat fee preferred) Apply tot his job
