Director of Corporate Governance

About the position Alterra Mountain Company has a Director of Corporate Governance opportunity available in its in-house Legal / Social Responsibility Division. The successful candidate will report to the Vice President, Legal - Acquisitions & Investments. We are looking for an experienced and proactive senior-level corporate governance expert to join our team of nine attorneys, two paralegals, and other legal, risk, and social responsibility professionals and team members. This is a dynamic opportunity to work at the intersection of law and the ski industry and provide corporate governance guidance to our boards and company staff. This position is responsible for advising and supporting the company on a wide range of corporate governance matters. The successful candidate will oversee and manage the company's legal entities and ensure compliance with applicable regulations. This role requires an individual who is both highly knowledgeable about corporate governance and understands the unique challenges of managing a large portfolio of entities and working closely with the company's management and ownership groups. The successful candidate will be expected to complete a variety of different tasks in compressed timeframes each day. The Director of Corporate Governance must be able to manage a large and complex portfolio of legal entities, work well under pressure, be organized, and be able to work autonomously. Responsibilities • Manage the governance structures of a large portfolio of legal entities, including directors, officers, and ownership structures • Monitor, manage, and track regulatory filings, including annual returns and reports and other filings as required for all legal entities, including US and Canadian entities • Draft governance documentation, including organizational documents for various types of legal entities • Draft consent resolutions and minutes of board and committee meetings • Maintain all company and subsidiary corporate records • Form new entities as required • Dissolve, merge, and amalgamate, as appropriate, entities in the corporate structure • Ensure adherence to all relevant laws, regulations, and reporting requirements of each legal entity in the company's structure • Monitor and ensure compliance with legislation and regulations that impact the company • Maintain up-to-date corporate structure charts • Maintain, distribute, and manage Director & Officer Questionnaires annually • Respond to requests for entity information • Support corporate transactions, such as mergers, acquisitions and dispositions • Support the interim and annual audit processes conducted by the company's auditors • Maintain litigation summary for company, including quarterly updates for board meetings • Oversee registered agent (CSC) updates and communications • Assist with credit facility matters, including mortgage releases, as applicable • Support the Alterra Mountain Company Community Foundation on governance matters • Other duties as assigned Requirements • A minimum of 10+ years of continuous experience working in corporate governance • In-depth knowledge of federal, state, and local laws as appropriate • Comprehensive knowledge of corporate governance matters, including board governance, and understanding various corporate structures and governance documentation • Outstanding organizational skills, particularly in managing a large portfolio of legal entities • Strong planning and organizational skills to ensure future deadlines and project milestones are consistently met • Excellent communication, negotiation, and interpersonal skills • Ability to handle sensitive and confidential information with discretion • Strong problem-solving and decision-making skills • Self-motivated, with the ability to work independently and collaboratively in a fast-paced environment • Passion for the outdoors, skiing, and the recreational industry is a bonus • Professional/lived experience working in a culturally competent manner with a broad range of people Nice-to-haves • Certified Corporate Governance Professional certificate is an asset Benefits • Free Ikon Pass for all eligible employees + additional free skiing/riding privileges across the family of Alterra Mountain Company resorts for eligible employees and their dependents • Discounted skiing/riding for friends and family of eligible employees across the family of Alterra Mountain Company resorts • Flexible Time Off (FTO) and Paid Time Off (PTO) policies for eligible employees to relax and recharge • Generous discounts on outdoor gear, apparel, rental cars, etc. • Medical, dental, vision, life, AD&D, short-term & long-term disability insurance, EAP, HSAs, FSAs, and more • 401(k) plan with generous company match • Paid parental leave of up to 6 weeks for eligible employees • Commuter benefits (Denver employees only) • Flexible/hybrid workplace policy empowering employees to work from home, while encouraging regular in-person collaboration in our dog-friendly company headquarters office located in Denver's RiNo Art District neighborhood Apply tot his job Apply tot his job
